Income

The rate targeted for distribution to investors, after the Manager's retained margin. Fund costs are borne by the Manager. Target only; not guaranteed.

Protection

Embark holds a 5% first-loss position as the most junior note and absorbs losses before investor capital is affected. It is not a guarantee; losses beyond 5% may reduce investor returns and capital.

Asset duration

Median 116 days, against a maximum term of 450 days under the credit policy. Distributions accrue daily and are paid quarterly. There is no redemption right.

Loans against expected R&D Tax Incentive refunds only. No property, construction or Fund borrowing.

Concentration

The greater of A$400,000 and 5% of the Borrowing Base per end borrower, tested at each drawdown. The dollar limb is a floor, so a single borrower can be a larger share of a smaller pool.

Transparency

Live view of the portfolio, arrears, losses and first-loss position.** The monthly report is generated from the same data and adds NAV and retained margin.

Fund lifecycle

A finite launch portfolio. When the successor Borderless funds are operating, this Fund will stop making new loans and the portfolio will run off. Capital is returned as loans amortise. Investors can then receive available proceeds or apply them to one or more successor funds, subject to those funds' terms and eligibility. Priority allocation ahead of new subscriptions is the Manager's stated intention, not a contractual right. There is no compulsory rollover or guaranteed exit date.

Important to know

The Fund is being established and final terms may change. It is a new, concentrated Fund with one asset class and one related-party Originator. Embark Capital and the Manager are under common ownership. Neither the 5% Originator first-loss position nor the reporting controls eliminate that conflict or the credit risk. R&D Tax Incentive eligibility and refund amounts may be reviewed, delayed, reduced or offset. There is no redemption right while the portfolio is operating or running off. The target return is not guaranteed and capital is at risk.
